Terms of Service
The agreement between you and Oberlin24 for using the app, including the end-user license and the rules for connecting QuickBooks Online, your bank, and email. Please read it before you use the service.
Overview
These Terms of Service ("Terms") are a binding agreement between you and Oberlin24 ("Oberlin24," "we," "us," or "our") and govern your access to and use of the Oberlin24 web app, iPhone app, bookkeeping assistant, and related services (together, the "Service"). They also serve as the end-user license agreement for the software.
By creating an account, connecting a third-party account such as QuickBooks Online, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Oberlin24 helps you keep books and prepare a tax return, but it is not a substitute for a CPA, attorney, or financial adviser. You stay responsible for reviewing your books and any filing before you rely on them.
1. The Service
Oberlin24 is a bookkeeping and tax-prep tool for rental-property owners. It connects to your accounting system and bank, reads the bills and receipts you send it, categorizes transactions onto the right Schedule E lines, reconciles your accounts against independent bank data, and produces reports and exports you and your accountant can use. You can use it through the web app, the iPhone app, and our bookkeeping assistant, including over chat.
We may add, change, or remove features over time. The Service is currently offered on an invite-only basis.
2. Eligibility and Your Account
- You must be at least 18 years old and able to enter a binding contract.
- You are responsible for the accuracy of the information you provide and for keeping your login credentials secure.
- You are responsible for all activity under your account. Tell us right away if you suspect unauthorized access.
- You may use the Service only for your own lawful bookkeeping and tax purposes, or those of an entity you are authorized to represent.
3. License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal bookkeeping and tax purposes. You may not copy, modify, reverse-engineer, resell, or create derivative works of the Service, or use it to build a competing product, except to the extent the law says you can despite this restriction.
4. Connecting QuickBooks Online and Other Accounts
The Service can connect to third-party accounts you authorize, including Intuit QuickBooks Online, your bank (through Plaid), and your email (through Gmail). When you connect an account:
- You authorize Oberlin24 to access, read, and, where you direct it to, write data to that account on your behalf, only as needed to provide the Service.
- For QuickBooks Online, we access your company's accounting data to review it, flag issues, and, when you approve a change, write categorized and corrected entries back. The bookkeeping assistant always shows a preview and asks you to confirm before it writes anything.
- Your use of QuickBooks Online remains governed by your agreement with Intuit. We are an independent application and are not endorsed by, or affiliated with, Intuit. "QuickBooks" is a trademark of Intuit Inc.
- You can disconnect any connected account at any time, from within Oberlin24, from within QuickBooks Online, or by contacting us. Disconnecting stops future access and revokes the tokens we hold for that connection.
You represent that you are authorized to connect each account you link and to permit the access described here.
5. Your Responsibilities
- Your books are yours. You own your financial data and remain responsible for its accuracy and for any return or report derived from it.
- Review before you rely. The Service automates categorization, reconciliation, and tax preparation, but you must review its output, and any change the assistant proposes, before you file, share, or otherwise rely on it.
- Lawful use. Do not use the Service to break the law, infringe rights, or upload content you have no right to share.
- Keep your own records. You are responsible for retaining the source records you are required to keep for tax and legal purposes.
6. Not Professional Advice
Oberlin24 provides software, not accounting, tax, legal, or financial advice, and using it does not create a professional-client relationship. Tax rules are complex and depend on your situation. Before you file a return or make a financial decision, you should confirm the results with a qualified professional. You are solely responsible for what you file and for decisions you make using the Service.
7. AI Features
Some features use AI to read documents, categorize transactions, reconcile accounts, and answer questions. To do this we send the content needed for the task to our AI providers (Anthropic and OpenAI) through their business APIs, where your data is not used to train their models. AI output can be wrong or incomplete, so the assistant shows a preview and asks you to confirm before it writes to your books, and you should always review what it produces.
8. Fees
The Service is currently provided on an invite-only basis. If we introduce paid plans, we will show the price and terms before you are charged, and your continued use of a paid feature after that point means you accept those terms. Where fees apply, they are non-refundable except as required by law.
9. Intellectual Property
The Service, including its software, design, and content (other than your data), is owned by Oberlin24 and protected by intellectual-property laws. These Terms do not transfer any of those rights to you beyond the limited license above. You keep all rights to the data and documents you put into the Service. You grant us only the limited rights needed to operate, secure, and improve the Service for you.
10. Privacy
Our Privacy Policy explains what we collect, how we use and protect it, and the choices you have, including how to export or delete your data. By using the Service you agree to that policy.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any result, categorization, reconciliation, or tax figure is accurate or complete. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
12. Limitation of Liability
To the fullest extent allowed by law, Oberlin24 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or tax penalties, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred US dollars ($100). These limits apply even if a remedy fails of its essential purpose.
13. Indemnification
You agree to defend, indemnify, and hold harmless Oberlin24 from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your data, your breach of these Terms, or your violation of any law or third-party right.
14. Termination
You may stop using the Service and delete your account at any time, under Settings → Delete account, which removes your data as described in the Privacy Policy and revokes our access to your connected accounts. We may suspend or end your access if you breach these Terms, if we need to for security or legal reasons, or if we stop offering the Service. Sections that by their nature should survive termination (such as license restrictions, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to These Terms
We may update these Terms as the Service changes. We will update the "Last updated" date above, and for significant changes we will give notice in the app. If you keep using the Service after an update takes effect, that means you accept the updated Terms.
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Pennsylvania have exclusive jurisdiction over any dispute that is not otherwise resolved, except where applicable law gives you the right to bring a claim elsewhere.
17. SMS / Text Message Alerts
Oberlin24 offers an optional SMS alert program for account notifications about your own bookkeeping. You enroll yourself by entering and verifying your own mobile number at oberlin24.com/sms-alerts; consent to receive texts is never a condition of any purchase. Message frequency varies, typically a few per day at most, and message and data rates may apply. Reply STOP to unsubscribe at any time, or HELP for help. We do not sell or share your mobile number or SMS opt-in data with third parties for their own marketing. See our Privacy Policy for details.
